Andrew P. Grau, Esq., LL.M.

Andrew counsels business owners through their most important matters. Entity structure and governance, succession planning, mergers and acquisitions, exit planning, compensation arrangements, leases and financing are crucial events that Andrew handles regularly. He also provides businesses with general counsel services, including the drafting and review of contracts of all types.

Knowledge of planning techniques and tax law enables Andrew to dispense sound advice to businesses in various industries, across all stages of growth and development. Working with a wide range of businesses gives him a vast well of experience to draw from when analyzing critical issues. It also keeps his mind flexible when addressing unique client needs.

Andrew frequently represents owners in the sale of businesses. He adeptly guides clients through the complex and often uncertain process associated with mergers and acquisitions. He knows the risks presented at each stage of the transaction. He knows what terms to demand and pitfalls to avoid. He explains dense purchase agreements to clients in language they understand, and he provides well-grounded advice. He comprehends the issues that may arise after the sale, and knows how to anticipate and address them prior to closing. Andrew works well with the opposite side, as business transactions are a collaborative effort. However, he does this without losing sight of his primary goal to maximally protect his clients’ interests.

Andrew also represents buyers acquiring businesses. He has extensive experience in matters of due diligence, transaction structure, drafting transaction documents such as letters of intent and purchase agreements, assessing risk and clearing obstacles of all varieties that stand in the way of closing.

Andrew’s clients include family-owned businesses spanning multiple generations. Andrew enjoys the unique challenges that family businesses present. In particular, corporate governance and succession planning require distinct and specialized counsel within the context of a family business.

Andrew graduated cum laude from Ursinus College with a degree in Computer Science (B.S. 2004) and minors in Mathematics and Business. He received his law degree from Pepperdine University School of Law (J.D. 2007), and received an LL.M. in Taxation from Villanova University School of Law (LL.M. 2010).

Before The Grau Law Firm, Andrew was a partner at a highly regarded full-service Montgomery County firm.

Andrew enjoys spending time with his wife, Megan, and their two young children, Andy and Rita. He played numerous sports growing up, with the greatest focus on tennis and soccer. He now coaches his children in youth sports. In his free time, he is trying to become a competent pianist.
