In high stakes transactions, businesses benefit from advisors who possess analytical minds, experience, attention to detail, strong drafting ability, and negotiation skills.  I counsel businesses through dozens of M&A transactions each year.  My experience ranges from transactions of under $1 million, to over $100 million.  I guide my clients through the process, which is often complex.  I provide sound counsel and risk assessment.  I am accustomed to being part of a transaction team with other advisors, especially accountants and investment banking consultants.  My LL.M. training in tax law helps me analyze tax issues involved in M&A transactions.  I work collaboratively with accountants to develop effective and creative strategies.

Often, a company’s general business attorney is not experienced in large M&A transactions.  I will frequently join the team as special transaction counsel, or, if it is desired, assume the lead counsel role and quarterback all legal aspects of the deal.  

If a business is considering selling in the coming years, I provide valuable services to help prepare for the transaction.  A legal audit may identify areas of weakness that impact the business’ appeal to potential buyers.  Estate and gift planning prior to the transaction can enhance the wealth of the owners and their families in the years and decades following the transaction.  Planning ahead of time leads to better long-term outcomes.
